1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Retrocket Software Limited ("Ravenboard," "we," "us," or "our") regarding your use of the Ravenboard mobile application, website, hardware devices, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Services.

By using the Services, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws
• All information you provide is accurate and current

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account by providing accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.2 Account Security

You agree to:

• Use a strong, unique password
• Not share your account with others
• Not transfer or sell your account to another person
• Keep your contact information up to date

4. Ravenboard Devices and Services

4.1 Hardware Purchase

When you purchase a Ravenboard device:

• You receive a limited, non-exclusive right to use the device
• The purchase is subject to our Return and Refund Policy
• Warranty terms are provided separately with your device
• Device functionality requires an active internet connection

4.2 Service Availability

We strive to provide reliable Services, but we do not guarantee:

• Uninterrupted or error-free operation
• That the Services will meet your specific requirements
• That defects will be corrected immediately

We may modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

4.3 Board Registration

You must register your Ravenboard device to access all features. One device may be registered to one account at a time. Transfer of device ownership requires contacting our support team.

5. User Content and Conduct

5.1 Your Content

You retain ownership of content you create and display on your Ravenboard device ("User Content"). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, display, and transmit your User Content to your devices
• Display publicly shared content to other users
• Use your content for service improvement and marketing (only with your explicit permission)

5.2 Content Standards

You agree not to post, transmit, or share content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes any intellectual property or proprietary rights
• Contains malware, viruses, or malicious code
• Promotes violence, discrimination, or illegal activities
• Violates privacy rights or impersonates others
• Contains spam, unauthorized advertising, or solicitation
• Is sexually explicit or pornographic (except in private, personal use)

5.3 Prohibited Activities

You may not:

• Reverse engineer, decompile, or disassemble our software
• Circumvent security measures or access controls
• Use automated systems (bots, scrapers) without permission
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to our systems
• Use the Services for commercial purposes without authorization
• Resell or redistribute the Services

6. Intellectual Property Rights

6.1 Our Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Ravenboard or our licensors and are protected by intellectual property laws. You may not use our trademarks or branding without prior written permission.

6.2 License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Use the mobile application on your devices
• Access and use the Services for personal, non-commercial purposes

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without any obligation to you.

7. Payments and Subscriptions

7.1 Pricing

Prices for products and services are listed on our website and are subject to change. All prices are in GBP unless otherwise stated and include applicable VAT.

7.2 Payment Processing

Payments are processed by third-party providers (Stripe, PayPal). You agree to provide accurate payment information and authorize us to charge your payment method.

7.3 Subscriptions

If you purchase a subscription:

• You will be charged automatically at the start of each billing period
• Subscriptions automatically renew unless cancelled
• You can cancel anytime through your account settings
• Cancellations take effect at the end of the current billing period
• No refunds for partial periods unless required by law

7.4 Refunds

Hardware purchases may be eligible for refund within 30 days of delivery in accordance with our Return Policy. Digital services and subscriptions are generally non-refundable except as required by law.

8. Third-Party Services and Links

Our Services may integrate with or link to third-party services, websites, and applications ("Third-Party Services"). We are not responsible for:

• The content, accuracy, or practices of Third-Party Services
• Any damages or losses caused by Third-Party Services

Your use of Third-Party Services is subject to their own terms and policies.

9. Disclaimers and Warranties

9.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Services will be uninterrupted or error-free

9.2 Hardware Warranty

Physical Ravenboard devices are covered by a separate limited hardware warranty provided with your purchase.

9.3 User Content

We do not endorse or assume responsibility for any User Content. You are solely responsible for your own content and the consequences of sharing it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• RAVENBOARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR £100, WHICHEVER IS GREATER
• THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ravenboard and our officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Termination

12.1 Termination by You

You may terminate your account at any time through the app settings or by contacting support.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without notice, if:

• You violate these Terms
• Your account shows suspicious or fraudulent activity
• We are required to do so by law
• We decide to discontinue the Services

12.3 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and content (subject to legal retention requirements)
• Sections that should survive termination (warranties, indemnification, limitations of liability) will continue to apply

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

For EU consumers: Any disputes shall be resolved in accordance with EU consumer protection laws, and you may bring proceedings in your country of residence.

For all others: You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13.3 Informal Resolution

Before filing a legal claim, please contact us at support@ravenboard.com to attempt to resolve the dispute informally.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the revised Terms with an updated "Last Updated" date
• Sending an email notification
• Displaying a notice in the app

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and Ravenboard.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

15.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control.
